Terms and Conditions of Use

These Terms of Use ("Terms" or "Agreement") govern your access and use of the Medwork Software and Services (collectively, the "Services") provided by Medwork, a mAIvenX.com company ("Medwork," "we," "us," or "our") to healthcare professionals ("Authorized Users," "you," or "your").

BY REGISTERING FOR ACCESS, ACCESSING, OR USING ANY OF THE SERVICES, OR BY AFFIRMING ACCEPTANCE OF THESE TERMS, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES OR ANY PART THEREOF.

These Terms are a legally binding agreement made by and between Medwork and you, whether you are using or accessing the Services for yourself or on behalf of a healthcare practice, clinic, or organization. These Terms govern your access and use of the Services and you should read them carefully. These Terms shall remain in effect at all times until you cease using the Services and delete all applications related to the Services or otherwise terminated in accordance with these Terms.

1. Services

The Medwork Software is an AI-powered medical scribe application that provides healthcare professionals with:

  • Audio recording of medical consultations with pause/resume functionality
  • Real-time and asynchronous transcription services using advanced speech recognition technology
  • Voice Activity Detection (VAD) to automatically filter silence and pauses, saving time during audio playback and review
  • AI-powered generation of structured medical notes (e.g., SOAP notes) from transcriptions using HIPAA-compliant AI LLM services
  • Medical terminology integration and customizable glossary management
  • Custom note templates for various medical specialties (Family Medicine, Cardiology, Orthopedics, Pediatrics, Mental Health, Surgery, Emergency Medicine, and more)
  • Customizable AI prompts to enhance note generation accuracy for your specialty
  • Multi-language support (English, French, Spanish, Arabic)
  • Export functionality for integration with Electronic Medical Record (EMR) systems
  • Epic integration framework (full Epic integration expected in Q1 2026)
  • Enterprise features including multi-facility support, usage analytics, and admin dashboards
  • Mobile applications (iOS and Android) and web application access
  • SOC 2 Type II compliant infrastructure with comprehensive security measures
  • Stripe payment integration with flat fee pricing model

2. General Terms and Conditions

Subject to compliance with the terms of the Agreement, payment of the Fees, and adherence to these Terms, Medwork grants you a personal, limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Medwork Software and Services for your direct, internal use only. You may not use the Services for any commercial purpose other than your own healthcare practice.

Medwork reserves the right, at its sole discretion, to make changes to portions or all of these Terms and the Privacy Policy at any time. You are responsible for checking these Terms and the Privacy Policy periodically for changes. Your continued use of the Services means that you agree to any new or modified provision of these Terms or the Privacy Policy.

Medwork reserves all rights that it does not expressly grant to you under these Terms.

Medwork reserves the right to suspend or disable your access to all or part of the Services if it suspects a violation of these Terms, with at least one (1) day's written notice, or immediately in cases of material breach or security concerns.

3. Access and Use of the Services

To access and use the Services, you may be required to provide Medwork with information about yourself and your practice, including your name, email address, professional credentials, and practice information. By submitting such information to Medwork, you hereby represent and warrant that any and all such information that you provide to Medwork is true and correct, and you authorize Medwork to use any method it chooses to verify the truth and accuracy of the information.

Account Management: Some functionality of the Services requires you to have a user account associated with a username and password ("Account Credentials") to securely access the functionality. You are solely responsible for maintaining the strict confidentiality of your Account Credentials. You shall not share your Account Credentials with any other person and shall not permit any other person to access or use the Services using your Account Credentials. You will be solely responsible for any damages or losses that may be incurred or suffered by Medwork as a result of your failure to maintain the strict confidentiality of your Account Credentials. You shall immediately inform Medwork in writing of any need to deactivate your account due to potential or actual security concerns.

You shall not register for more than one account for any Service. You shall not utilize alter-egos or other disguised identities when accessing or using the Services. We prohibit all forms of indirect and "spoofed" access.

Children and Minors: The Services are intended for use by licensed healthcare professionals only. If you are under 18 years old, you may not access or use the Services. By accessing or using any of the Services, you represent and warrant that you are 18 years old or older and hold appropriate professional credentials to use the Services.

Geographic Restrictions: The Services are designed for use in Canada, the United States, and the Gulf region (Saudi Arabia, UAE, Qatar). By accessing or using the Services, you represent and warrant that you are located in one of these regions and that your use complies with all applicable local laws.

Authorized User Obligations: You agree to:

  • Comply with all applicable laws related to the protection of personal information, privacy, and data security (HIPAA, PIPEDA, GDPR, Law 25, and other applicable regulations)
  • Use the Medwork Software solely for internal purposes related to your healthcare practice
  • Obtain patient consent when required by law before recording consultations or processing patient information
  • Verify the accuracy of all medical notes and transcriptions generated by the Software before using them in patient care
  • Not share, resell, sublicense, or allow unauthorized access to the Services
  • Not reverse engineer, decompile, disassemble, or attempt to derive the source code or algorithms of the Services
  • Not use the Services to develop competing products or services
  • Not interfere with or attempt to interfere with the proper working of the Services or any network connected to the Services
  • Not use any automated means (robots, spiders, scrapers) to access or monitor the Services without express written permission

IMPORTANT MEDICAL DISCLAIMER: You are solely responsible for verifying the accuracy of all medical information transcribed into medical notes. The Software does not provide medical advice, make diagnoses, or make medical decisions. You must review and correct all clinical notes before using them in patient care. IF YOU HAVE AN EMERGENCY SITUATION, DO NOT RELY ON THE SERVICES—INSTEAD, FOLLOW APPROPRIATE EMERGENCY PROTOCOLS.

4. Billing and Payment

  • Fees are non-cancellable, non-exchangeable, and non-refundable unless otherwise stated
  • Fees are invoiced in advance and payable within 30 days
  • Overdue amounts accrue interest at 2% per month (26.8% annually)
  • Services may be suspended after 30 days of non-payment and disabled after 45 days
  • Subscription Cancellation: You may cancel your subscription at any time. Monthly subscriptions will remain active until the end of the current billing month, and annual subscriptions will remain active until the end of the current billing year. No refunds will be issued for the remaining period of your subscription. You will continue to have full access to all features until the end of your billing period.

5. Term and Termination

This Agreement takes effect upon your acceptance of these Terms or activation of your account. The Agreement automatically renews unless either party provides written notice at least 90 days prior to the end of the term.

Either party may terminate this Agreement immediately upon written notice for material breach, insolvency, or bankruptcy. Upon termination, all access is revoked and no Fees shall be refunded.

6. Confidentiality

Both parties agree to maintain the confidentiality of all Confidential Information, including patient data and proprietary information. Medwork implements comprehensive security measures including:

  • Encryption of data in transit and at rest
  • PHI-Zone architecture for secure processing
  • De-identification of data before general storage
  • Complete audit logs of all data access
  • Regular security reviews and penetration testing

Data Retention: By default, data is retained for 24-48 hours (configurable in your settings). Audio recordings are automatically deleted immediately after transcription.

7. Data Ownership and Use

You retain full ownership of your data. You grant Medwork a license to use your data as necessary to provide the Services. Medwork:

  • Never sells or rents your data to third parties
  • May use anonymized data for statistical purposes and service improvement
  • Shall delete or anonymize your data upon termination, subject to legal requirements

8. Protection of Personal Information

Medwork collects, uses, stores, and protects Personal Information in accordance with its Privacy Policy . You agree to obtain patient consent when required by law.

Data is hosted in Canada and the United States by Medwork or its authorized service providers, all of whom are contractually bound to maintain confidentiality.

9. Content and Intellectual Property

The "Medwork" name, logo, and all related marks are trademarks and service marks of Medwork. You shall not use the Medwork marks without the express, written permission of Medwork. Any third-party trademarks that may appear on or in connection with the Services are the property of their respective owners.

All intellectual property rights in the Medwork Software and Services, including but not limited to the design, graphics, text, software, algorithms, user interface, trademarks, copyrights, and trade secrets, remain the exclusive property of Medwork or its licensors. The Services and all content contained therein are protected by copyright, trade dress, trademark, and other intellectual property rights and unfair competition laws.

Except as expressly provided in these Terms or by Medwork's express written consent, you shall not copy, modify, reformat, lease, loan, sell, distribute, encode, post, publicly display, publish, republish, reproduce, derive creative works from, translate, upload, or otherwise exploit in any manner any part of the Services and Content.

10. Representations and Limitation of Warranty

The Medwork Software is provided "as is" without any warranties. Medwork does not warrant that the Software will be uninterrupted, error-free, or meet your specific needs.

Medical Disclaimer: The Software does not provide medical advice, make diagnoses, or make medical decisions. You are solely responsible for verifying the accuracy of all medical information and making all medical, diagnostic, and clinical decisions.

AI-generated outputs may contain errors or be incomplete. You must never use these outputs as the sole basis for decision-making, especially when such decisions involve preventing or mitigating risks or harm.

11. Disclaimers, Exclusions and Limitations

THE SERVICES, CONTENT AND ANY INFORMATION INCLUDED ON OR PROVIDED THROUGH THE SERVICES ARE PRESENTED ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. MEDWORK DISCLAIMS ALL WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED, OR STATUTORY INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND LACK OF NEGLIGENCE OR WORKMANLIKE EFFORT.

LIMITATION OF LIABILITY: UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY SHALL MEDWORK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES OF ANY CHARACTER WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OR INABILITY TO USE THE SERVICES, EVEN IF MEDWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF MEDWORK IS FOUND LIABLE, ITS TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE ONE (1) YEAR PRECEDING THE EVENT.

You acknowledge and agree that data conversion and transmission in the Services is subject to the possibility of human and machine errors, omissions, delays and losses. Medwork disclaims any liability for any such errors, omissions, delays, or losses.

Indemnification: Indemnification: You agree to indemnify, defend, and hold harmless Medwork and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, fines, settlements, and expenses (including reasonable attorneys' fees and costs) arising from or related to: (i) your violation of these Terms; (ii) your use or misuse of the Services; (iii) your violation of any applicable laws; (iv) your infringement of any intellectual property or other rights of any third party; or (v) any content or data you submit, post, transmit, or make available through the Services.

12. Violation of These Terms

You agree that Medwork may, in its sole discretion and without prior notice, terminate your access to the Services if Medwork determines in its sole discretion that you have violated these Terms.

Medwork may disclose any information it has about you, including your identity, if it determines that such disclosure is necessary as part of any investigation or complaint regarding your use of the Services, or to identify, contact or bring legal action against someone who may be causing injury to or interference with Medwork's rights or property, or another person's rights or property.

If Medwork takes legal action against you as a result of your violation of these Terms, Medwork will be entitled to recover from you, and you agree to pay, all reasonable attorney's fees and costs of such action, in addition to any other relief granted to Medwork.

13. Force Majeure

Medwork will not be deemed to be in breach of these Terms or liable for any breach of these Terms or our Privacy Policy due to any event or occurrence beyond our reasonable control, including without limitation, acts of God, terrorism, war, invasion, failures of any public networks, electrical shortages, Internet outage, labor disturbance, earthquakes or floods, civil disorder, strikes, fire, pandemics, epidemics, or other disaster (including without limitation, natural, technological, or social).

14. Modification or Termination of the Services

These Terms will remain in full force and effect as long as you continue to access or use the Services. You may terminate your use of the Services at any time by discontinuing use and contacting us to delete your account.

Medwork reserves the right, at its sole discretion and without liability, to change, discontinue, improve, modify, or suspend any aspect of the Services, either temporarily or permanently, at any time and for any reason, without prior notice. Notification of such changes may be provided by updating these Terms or through other means (e.g., email). Upon termination of these Terms, all rights granted to you will cease immediately.

15. Miscellaneous

  • Severability: If any provision of these Terms are ruled by a court of competent jurisdiction to be void or unenforceable, such provision(s) shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best furthers the intent of these Terms, with all remaining provisions remaining in full force and effect.
  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Medwork with regard to your access and use of the Services.
  • Assignment: Medwork may assign its rights, in whole or in part, in the Services in accordance with its sole discretion. You may not assign your rights or obligations without Medwork's written consent.
  • No Agency: Nothing contained in these Terms creates any agency, partnership, or other form of joint enterprise between you and Medwork.
  • No Waiver: Medwork's failure or delay to insist on or enforce strict performance of these Terms shall not be construed as a waiver of any provision or any right that Medwork has to enforce these Terms.
  • Governing Law: This Agreement is governed by the laws of Quebec, Canada, and the laws of the United States, as applicable, without regard to conflict of law principles.
  • Time Period for Filing Claims: You acknowledge and agree that any cause of action arising out of or related to Medwork or the Services must commence within one (1) year after the cause of action accrues, otherwise such cause of action is permanently barred.
